We may restrict access where reasonably necessary to protect our website, services, users, or legal interests.
3. Enquiries and Consultations
Submitting an enquiry, booking a consultation, or receiving a quotation does not automatically create a client relationship or require either party to enter into a service agreement. We may accept or decline projects based on our availability, capabilities, and business requirements.
A client engagement begins when the relevant terms have been accepted or otherwise agreed upon by both parties.
4. Service Agreements and Scope of Work
For individual projects, the agreed proposal, quotation, statement of work, or service agreement may specify:
- Services and deliverables
- Project milestones and timelines
- Fees and payment schedules
- Advertising budgets
- Revision limits
- Client responsibilities
- Third-party costs
- Ownership and licensing arrangements
- Cancellation and termination terms
- Other project-specific conditions
Work outside the agreed scope may require additional fees and a revised timeline. If a signed or otherwise valid written client agreement conflicts with these website Terms regarding a specific engagement, the client agreement will govern that engagement to the extent of the conflict.
5. Fees and Payments
Unless otherwise agreed in writing:
- Fees are payable according to the agreed payment schedule.
- Advertising spend is separate from our service fees unless explicitly included.
- Third-party subscriptions, hosting, domains, software licences, and platform charges are separate unless otherwise agreed.
- Applicable taxes may be charged as required by law.
- We may pause work where payment obligations remain overdue, subject to the applicable agreement and law.
Any deposit, advance payment, refund, or cancellation arrangement will be governed by the agreed service terms and applicable law.
6. Advertising and Marketing Results
We use reasonable professional efforts to provide the agreed services. However, marketing performance depends on factors beyond our control, including market demand, competition, advertising budgets, offer quality, pricing, sales processes, platform algorithms, tracking accuracy, and client responsiveness.
Unless expressly guaranteed in a written agreement, we do not guarantee any particular number of leads, sales, conversions, customers, impressions, clicks, revenue, rankings, or return on advertising spend. Case studies, examples, forecasts, and historical results are illustrative and do not guarantee similar future outcomes.
7. Third-Party Platforms
Our services may rely on third-party platforms such as Meta, Facebook, Instagram, Google, WhatsApp, hosting providers, website builders, CRM platforms, payment providers, and other software services.
These platforms operate independently from i33digital. We cannot guarantee their uninterrupted availability, approval of advertisements, account reinstatement, algorithm behaviour, pricing, functionality, or continued availability of particular features. We are not responsible for platform outages, policy changes, suspensions, or decisions made independently by third-party providers.
8. Client Responsibilities
Clients agree to provide accurate information, necessary materials, timely approvals, and appropriate access needed to perform the agreed services. This may include:
- Brand assets and marketing materials
- Product and service details
- Pricing and promotional information
- Website and advertising account access
- Social media or CRM access
- Customer support and sales information
- Feedback and approvals
Delays in providing information, access, or approvals may affect delivery dates and campaign performance. Clients must maintain appropriate account permissions and must not share passwords through insecure channels.
9. Advertising Content and Legal Compliance
Clients are responsible for the accuracy and legality of claims, testimonials, pricing, offers, products, services, and materials they provide. Clients must ensure that their businesses, offers, advertising claims, and customer data practices comply with applicable laws and platform policies.
i33digital may decline to create, publish, or manage content that we reasonably believe is unlawful, deceptive, infringing, or contrary to applicable platform policies.
10. Website Development
For website design and development services:
- Deliverables will follow the agreed project scope.
- Additional features or revisions outside the agreed scope may incur additional charges.
- Domain registration, hosting, paid plugins, themes, software, and third-party services may involve separate fees.
- Timelines may depend on client content, approvals, and third-party systems.
- Ongoing maintenance, backups, security monitoring, hosting, and updates are not included unless expressly agreed.
11. SEO Services
Search engine optimization depends on numerous factors, including search engine algorithms, competition, website condition, content quality, technical performance, and industry changes. We do not guarantee specific rankings, first-page placement, a particular traffic volume, leads, or revenue unless an expressly defined commitment is included in a written agreement.
12. Intellectual Property
Unless otherwise agreed in writing:
- Each party retains ownership of its pre-existing intellectual property.
- i33digital retains ownership of its pre-existing methods, frameworks, processes, templates, tools, and general know-how.
- Ownership or licensing rights for project-specific deliverables will be determined by the applicable agreement.
- Any transfer of rights expressly conditional on full payment will take effect according to that agreement.
13. Portfolio and Case Studies
Where permitted by the applicable client agreement and law, i33digital may refer to completed work or results for portfolio or promotional purposes. We will not knowingly publish confidential client information in breach of an applicable confidentiality obligation.
14. Confidentiality and Client Data
Each party may receive confidential information during a project. Both parties should take reasonable steps to protect such information and use it only for the agreed business purpose. Personal data and client records will be handled in accordance with the applicable service agreement, our Privacy Policy where relevant, and applicable law.
15. No Professional or Financial Advice
Information on our website is provided for general informational purposes. Unless expressly agreed and appropriately qualified, our services do not constitute legal, tax, investment, or financial advice.
16. Limitation of Liability
To the maximum extent permitted by applicable law, i33digital will not be liable for indirect or consequential losses, loss of anticipated profits, lost business opportunities, or loss of anticipated savings arising from website use or a service engagement.
17. Indemnification
To the extent permitted by applicable law, you may be responsible for claims, losses, or costs arising from your unlawful conduct, breach of these Terms, infringement of third-party rights, or materials you supplied that were unlawful or unauthorized.
18. Suspension and Termination
A service engagement may be suspended or terminated according to the applicable client agreement. Outstanding fees for work already performed and other amounts lawfully due remain payable according to the applicable agreement.
19. Force Majeure
Neither party will be responsible for delays caused by circumstances beyond its reasonable control, to the extent permitted by law, including natural disasters, widespread service outages, government restrictions, or major infrastructure failures.
20. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be published on this page with a revised “Last Updated” date.
21. Governing Law and Disputes
These Terms are governed by the laws of India, subject to applicable law. Disputes will be addressed through good-faith discussion where practicable.
22. Severability
If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
